1. Acceptance of Terms
These Terms and Conditions ("Terms") govern access to and use of Astrix AI, including the Astrix dashboard, APIs, webhooks, WhatsApp workflows, web chat, AI-assisted workflows, reporting, integrations, automation features, files, assets, support services, and related services.
By accessing or using Astrix AI, you agree to these Terms on behalf of yourself and, if applicable, the organization, agency, client, seller, brand, or business account you represent. If you do not agree to these Terms, you must not use Astrix AI.
2. Service description
Astrix AI is a business operations, reporting, conversational workflow, and automation platform. It enables authorized users to connect business accounts, retrieve client-scoped data, ask operational questions, generate reports, manage assets, create payment links, generate shipping labels, view advertising and social metrics, access files, and trigger approved workflows.
Astrix AI is designed for India-based customers and business operations for now. It is not intended to be a general-purpose consumer chatbot or public AI assistant.
3. Account eligibility and authority
You represent and warrant that:
· You are legally able to enter into these Terms.
· You are using Astrix for business purposes.
· You have authority to bind the organization you represent.
· You have authority to connect each third-party account, marketplace, ad account, payment account, file system, social account, logistics account, website account, or communication account.
· You will invite only authorized users.
· You will assign accurate roles and permissions.
· You will comply with all applicable laws and third-party platform terms.
If you use Astrix as an agency, consultant, service provider, system integrator, or operator for a client, you represent that the client has authorized you to connect its accounts, process its data, instruct Astrix, and perform actions on its behalf.
4. Accounts and security
You are responsible for:
· Maintaining accurate account information.
· Protecting passwords, passkeys, multi-factor authentication devices, API keys, OAuth authorizations, and connected account credentials.
· Removing users who no longer require access.
· Ensuring users act only within their authorized organization, agency, client, integration, and workflow scope.
· Promptly notifying Astrix of suspected compromise, unauthorized access, credential exposure, or security incidents.
You are responsible for all activity under your account, except to the extent caused by Astrix's breach of these Terms or applicable law.
5. Customer data and connected accounts
As between you and Astrix, you retain ownership of your underlying customer data, business data, files, messages, prompts, reports, and connected account data, subject to third-party platform rights and terms.
You grant Astrix a limited, non-exclusive, worldwide license to process customer data only as needed to provide, secure, maintain, support, troubleshoot, and improve Astrix AI; comply with law; enforce these Terms; and satisfy partner obligations.
You are responsible for ensuring customer data is accurate, lawful, properly authorized, and appropriate for the workflow being performed.
6. Integrations and availability
Current live integrations include Amazon Seller Central/SP-API, Delhivery, Stripe, Meta Ads, Google Ads, Amazon Ads, Instagram, Facebook, YouTube, X, Threads, Apollo, Instantly, Canva, SharePoint, Google Sheets, Google Docs, Jira, Wix, and Google Analytics.
Planned integrations include Flipkart, Meesho, Shiprocket, LinkedIn Ads, LinkedIn, and Razorpay.
Integrations may be added, removed, suspended, limited, modified, or deprecated with or without prior notice due to provider API changes, provider policy changes, app review decisions, rate limits, pricing changes, access removal, provider outages, commercial infeasibility, security risks, compliance requirements, excessive or commercially unreasonable requirements, or technical limitations.
Astrix is not responsible for third-party API outages, provider rate limits, provider policy enforcement, OAuth verification outcomes, marketplace restrictions, app review decisions, inaccurate third-party data, or suspension of connected third-party accounts.
7. Third-party pass-through terms
Your use of connected integrations is subject to the terms, developer policies, platform rules, API policies, data protection policies, messaging policies, advertising policies, payment terms, logistics terms, and acceptable use requirements of the relevant third-party providers.
You must not use Astrix to:
· Bypass third-party platform restrictions.
· Scrape, reverse engineer, or access undocumented APIs.
· Circumvent rate limits, app reviews, account protections, or policy enforcement.
· Share credentials across unrelated clients or tenants.
· Use third-party data for unauthorized purposes.
· Misrepresent your identity, Astrix, your organization, or your relationship with any provider.
Astrix may suspend or disable integrations if required by law, provider terms, security risk, compliance risk, abuse risk, nonpayment, or platform enforcement.
8. Amazon Selling Partner obligations
If you connect Amazon Seller Central, Amazon SP-API, Amazon Ads, or related Amazon services, you agree that:
· You will connect only accounts you are authorized to manage.
· You will use Amazon Information only for authorized seller-benefiting features.
· You will not use Amazon buyer PII for off-Amazon marketing, retargeting, profiling, enrichment, or data brokerage.
· You will not contact Amazon buyers through WhatsApp, SMS, RCS, iMessage, email, phone, or other non-Amazon channels using Amazon Information.
· Amazon buyer communications and review solicitations must use Amazon-approved messaging or solicitation channels where required.
· You will not export, copy, retain, or share Amazon restricted data except as permitted by Amazon policies, applicable law, and Astrix controls.
· You will cooperate with Amazon security reviews, audits, data security assessments, architecture reviews, and remediation requests.
· You will promptly notify Astrix of Amazon account suspension, compromised credentials, unauthorized access, buyer complaints, policy complaints, or data incidents involving Amazon Information.
Astrix may restrict Amazon workflows until required roles, retention controls, restricted data token handling, security controls, audit logs, and approval requirements are satisfied.
9. Messaging, WhatsApp, and customer communications
When using WhatsApp, web chat, SMS, RCS, iMessage, voice, phone, email, or similar communication channels through Astrix, you are responsible for:
· Obtaining required opt-ins, consents, and permissions.
· Maintaining accurate business identity and support contact information.
· Using approved templates where required.
· Respecting opt-outs, blocks, unsubscribe requests, and user preferences.
· Avoiding spam, deceptive messages, surprise messages, unlawful communications, and prohibited content.
· Maintaining human escalation paths where automation is used.
· Complying with all applicable messaging, telecom, consumer protection, and platform rules.
Astrix must not be used as a general-purpose AI assistant distributed through WhatsApp. WhatsApp workflows must remain business-specific, client-scoped, and ancillary to customer support, operations, commerce, analytics, or workflow automation.
10. Outreach and CRM use
Apollo, Instantly, and similar outreach or CRM-related features may be used only for lawful B2B outreach, campaign analytics, and customer-authorized business workflows.
You are responsible for:
· Establishing lawful basis for outreach.
· Avoiding consumer spam and unlawful marketing.
· Maintaining suppression lists.
· Honoring unsubscribe and opt-out requests.
· Complying with anti-spam, telecom, platform, and data protection laws.
· Ensuring prospect and enrichment data is used lawfully and not treated as guaranteed accurate.
Astrix may suspend outreach features if they are used for spam, unlawful consumer marketing, deceptive messaging, prohibited industries, or platform abuse.
11. AI-assisted features and human review
Astrix may provide automated or AI-assisted classifications, summaries, suggested replies, report drafts, workflow routing, data lookups, and recommendations. AI outputs may be inaccurate, incomplete, delayed, biased, or based on stale third-party data.
You are responsible for reviewing AI-assisted outputs before relying on them.
Human approval is required for:
· Refunds.
· Returns.
· Price changes.
· Listing changes, catalog changes, and A+ content changes.
· Ad budget changes or material campaign changes.
· Customer-facing messages outside pre-approved templates.
· Legal, tax, financial, compliance, employment, or high-impact business decisions.
· Any workflow that could materially affect a customer, buyer, seller account, ad account, payment account, shipment, or third-party account.
Payment links and shipping labels may be automated only under customer-configured limits, approval rules, and workflow safeguards. You remain responsible for verifying amounts, addresses, SKUs, shipment details, recipient information, taxes, and compliance before acting on or sending them.
Astrix does not provide legal, tax, medical, financial, investment, accounting, employment, or professional advice.
12. Payments, billing, and payment links
Astrix may support SaaS billing, subscription status, payment links, and payment metadata through providers such as Stripe and, if enabled, Razorpay.
You are responsible for:
· Paying applicable Astrix fees, taxes, usage charges, overages, and third-party charges.
· Verifying payment amount, currency, description, recipient, purpose, and provider settings before sending a payment link.
· Complying with payment provider terms and prohibited/restricted business rules.
· Handling refunds, disputes, taxes, chargebacks, reconciliation, and customer issues.
· Not entering or requesting full card numbers, CVV codes, OTPs, full bank credentials, passwords, or payment authentication secrets in Astrix.
Astrix is not a bank, payment processor, escrow provider, wallet provider, or financial adviser.
13. Logistics, shipping, returns, and labels
Astrix may support logistics workflows such as serviceability checks, shipping label generation, tracking, manifests, pickup information, returns, and delivery status.
You are responsible for verifying order details, recipient details, address accuracy, product restrictions, carrier eligibility, marketplace requirements, COD/prepaid status, taxes, customs requirements, and return eligibility before generating labels or initiating shipments.
Astrix is not responsible for carrier delays, failed pickups, incorrect addresses supplied by users or integrations, lost shipments, customs issues, return disputes, or logistics provider policy enforcement.
14. Advertising, social, website, and analytics workflows
Astrix may display or process advertising, social, website, and analytics data from platforms such as Meta Ads, Google Ads, Amazon Ads, Instagram, Facebook, YouTube, X, Threads, Wix, Google Analytics, and planned LinkedIn integrations.
You are responsible for complying with advertising policies, audience rules, privacy requirements, cookie consent requirements, platform policies, and client instructions. Astrix does not guarantee ad performance, attribution accuracy, audience availability, spend efficiency, reach, conversions, or account approval.
15. Files, documents, and assets
Astrix may access, search, export, or display files, documents, designs, and metadata from connected services such as Canva, Google Docs, Google Sheets, SharePoint, Jira, and Wix.
You must not use Astrix to access files, drives, projects, designs, documents, or workspaces unless you have authority to do so. You are responsible for confirming that any generated, downloaded, or shared file is accurate, lawful, and suitable for the intended recipient.
16. Acceptable use
You must not use Astrix to:
· Violate any law or third-party right.
· Access, process, export, or disclose data without authorization.
· Send spam, phishing, malware, deceptive messages, harassment, or unlawful communications.
· Store or transmit full card numbers, CVV codes, passwords, OTPs, private keys, or unnecessary sensitive identifiers in chat or workflow fields.
· Circumvent third-party platform rules, rate limits, review processes, or access controls.
· Use Amazon Information, Google user data, Microsoft API data, WhatsApp Business Solution Data, or other restricted data for prohibited purposes.
· Train or improve generalized AI models using data where prohibited.
· Perform unlawful scraping, enrichment, profiling, or data brokerage.
· Process children's data without required authority and consent.
· Use Astrix for prohibited goods, restricted activities, illegal goods, regulated goods, or platform-prohibited verticals.
· Interfere with Astrix security, infrastructure, users, or rate limits.
· Upload malicious code or attempt unauthorized access to Astrix or third-party systems.
17. Security obligations
You must maintain reasonable security for your users, devices, credentials, accounts, integrations, and client data. You must promptly notify Astrix of suspected unauthorized access, data leakage, compromised credentials, integration misuse, or security incidents involving Astrix or connected accounts.
Astrix may suspend accounts, rotate credentials, disable integrations, revoke tokens, block workflows, or restrict data access to protect users, clients, providers, or Astrix infrastructure.
18. Service availability and beta features
Astrix may be unavailable due to maintenance, updates, provider outages, API changes, rate limits, infrastructure issues, security incidents, force majeure events, or third-party service disruptions.
Beta, preview, staging, experimental, or newly integrated features may be changed, limited, suspended, or discontinued at any time. You should not rely on beta features for critical workflows without human review and backup procedures.
19. Fees, taxes, and third-party charges
Fees, plans, billing terms, usage limits, overages, payment terms, and taxes will be described in the applicable order form, invoice, subscription plan, dashboard, or written agreement.
Third-party platforms may charge separate fees, including API fees, WhatsApp conversation fees, payment processing fees, SMS or telephony charges, cloud usage fees, marketplace fees, logistics charges, ad spend, SaaS subscription fees, or data provider fees. You are responsible for third-party charges associated with your connected accounts.
20. Suspension and termination
Astrix may suspend or terminate access if:
· You breach these Terms.
· Required fees are unpaid.
· Your use creates legal, security, privacy, operational, provider, or reputational risk.
· A third-party provider requires or recommends suspension.
· Credentials are compromised.
· You use Astrix outside authorized scope.
· You use Astrix for unlawful, abusive, or platform-violating activity.
· Continuing service would violate law, provider terms, or Astrix's security obligations.
Upon termination, Astrix will delete or return customer data according to the applicable agreement, Privacy Policy, legal requirements, backup limitations, security requirements, and third-party platform obligations.
21. Data deletion and export
Authorized administrators may request deletion or export of customer data, subject to authentication, authority verification, legal requirements, security requirements, provider restrictions, backup limitations, and technical feasibility.
Astrix may retain certain data after deletion requests where necessary for legal, tax, accounting, audit, security, fraud-prevention, dispute, backup, or compliance purposes.
22. Intellectual property
Astrix and its licensors retain all rights in Astrix AI, including software, workflows, APIs, dashboards, user interfaces, templates, prompts, documentation, know-how, designs, models, infrastructure, and platform improvements.
You retain ownership of your underlying customer data and content. You may not copy, modify, reverse engineer, resell, sublicense, or create derivative works from Astrix except as expressly permitted in writing.
23. Feedback
If you provide ideas, suggestions, bug reports, or feedback, Astrix may use them without restriction or obligation, provided we do not disclose your confidential information or customer data except as permitted by these Terms and the Privacy Policy.
24. Confidentiality
Each party may receive confidential information from the other. Confidential information must be protected using reasonable safeguards and used only for the purpose of providing or receiving the services. Confidentiality obligations do not apply to information that is public, independently developed, lawfully obtained from another source, or required to be disclosed by law.
25. Privacy and data protection
Astrix's processing of personal information is described in the Astrix AI Privacy Policy. If required, the parties may enter into a data processing agreement, security addendum, or platform-specific data protection addendum.
You are responsible for providing legally required notices and obtaining legally required consents from users, clients, customers, buyers, recipients, prospects, employees, contractors, and other individuals whose data you process through Astrix.
26. Disclaimers
Astrix is provided "as is" and "as available" to the maximum extent permitted by law. Astrix disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, uninterrupted operation, and error-free performance.
Astrix does not guarantee third-party data accuracy, API availability, OAuth verification, marketplace approval, message delivery, payment success, shipping success, ad performance, model output accuracy, or business outcomes.
27. Limitation of liability
To the maximum extent permitted by law, Astrix will not be liable for indirect, incidental, consequential, special, exemplary, punitive, or lost-profit damages, or for loss of data, revenue, goodwill, business opportunity, third-party account access, ad account access, marketplace account status, payment processing access, or logistics provider access.
Astrix's aggregate liability will not exceed the amount paid to Astrix for the affected service during the [three/six/twelve] months before the event giving rise to liability, unless a separate written agreement states otherwise.
28. Indemnity
You will indemnify and hold Astrix harmless from claims, losses, damages, penalties, costs, and expenses arising from:
· Your misuse of Astrix.
· Unauthorized account connections or data processing.
· Your breach of third-party platform terms.
· Your unlawful communications or missing consents.
· Your client, seller, buyer, customer, prospect, recipient, or end-user disputes.
· Your content, files, listings, ads, campaigns, payment links, outreach, shipments, or workflow actions.
· Your violation of these Terms, applicable law, or third-party rights.
29. Changes to the service or Terms
Astrix may update the service and these Terms from time to time. Material changes may be communicated through the website, dashboard, email, or other appropriate channels. Continued use after the effective date means you accept the updated Terms.
30. Governing law and disputes
These Terms are governed by the laws of [Insert governing law]. Courts located in [Insert city/state/country] will have exclusive jurisdiction unless an applicable order form or written agreement states otherwise.
